Welcome to WobeStudios. These Terms of Service (“Terms”) govern your access to and use of our website at www.wobedreams.com, our client web app (bookings, payments, dashboards), and all services we provide (music production, photo/video, podcasting, events coverage, drone, post-production). By visiting our site, creating an account, booking, or paying an invoice, you agree to these Terms.

If you do not agree, please do not use our services.

1) Who we are

2) Using our Services

  • You must be 18+ (or the age of majority in your region). Under-18s require a parent/guardian to book and sign releases.
  • You agree to provide accurate information and comply with studio rules, safety instructions, and applicable laws (including venue and drone regulations).
  • We may update these Terms from time to time. Continued use after updates constitutes acceptance of the new Terms.

3) Accounts, Login & Security

  • Public pages (blog/static) run on WordPress. Authenticated features (bookings, invoices, proofs, downloads) run in our client app. We may offer Single Sign-On (SSO).
  • Keep your login secure. You are responsible for all activity under your account. Notify us immediately of any unauthorized access.

4) Quotes, Bookings & Deposits

  • Quotes are valid for [7/14] days unless stated otherwise.
  • A 30% deposit (or amount stated on your invoice) is required to reserve time, crew, and gear. Deposits are non-refundable once the booking is confirmed.
  • Balance is due on delivery (or per milestones for larger projects). Unpaid balances may delay release of final files.

Details on cancellations, reschedules, and refunds appear in our Refund & Returns Policy, which is incorporated by reference.

5) Payments & Invoicing

  • We accept Nigerian Naira (₦) . Prices shown include applicable taxes/fees unless stated.
  • Payments are processed by trusted providers (e.g., Paystack/Flutterwave/Stripe). We don’t store card information.
  • Late payments may incur 10% per month interest and/or access suspension to deliverables until cleared.
  • Chargebacks without contacting us first may be contested with signed quotes, logs, and delivery records.

6) Rescheduling & Cancellations (Summary)

  • ≥48 hrs: one free reschedule (subject to availability).
  • 24–47 hrs: reschedule fee ₦10,000 or 10%, whichever is higher.
  • <24 hrs / no-show: deposit forfeited; room/crew time may be charged.
  • If we must reschedule (e.g., equipment failure), you may choose a free reschedule or 100% studio credit.

7) Services & Deliverables

  • Recording: time used is time billed. We guide performance and capture. Technical faults on our side → re-record at no charge.
  • Mixing & Mastering: includes 2 revision rounds unless otherwise stated. After approval or file delivery, sales are final (digital goods).
  • Photo/Video/Drone: includes curated selects and stated revision rounds. Weather/permits may affect drone or location shoots; we reschedule if unsafe/illegal to fly.
  • Events: retainers are non-refundable after crew scheduling.
  • Podcasts: recording/editing packages specify cleanup and revision count.

Turnaround (typical): mixes 2–5 business days/song; photo galleries 48–72 hrs; video edits 3–10 business days, scope-dependent. Rush delivery can be arranged for an added fee.

8) Revisions, Out-of-Scope & Changes

  • A “revision round” is one compiled list of change requests.
  • New edits (alt cuts, added scenes, arrangement changes, new VFX) or changes requested after approval are out of scope and quoted separately.
  • We may keep reasonable creative discretion to maintain quality and technical standards.

9) Intellectual Property & Usage Rights

  • Your Materials: You retain ownership of your audio, photos, videos, scripts, and brand assets you supply. You grant us a limited license to edit, mix, record, and deliver your project.
  • Our Materials: We retain ownership of session files, project files, templates, LUTs, presets, and production methods used to create the deliverables.
  • Final Deliverables: Unless otherwise stated, we grant you a non-exclusive, perpetual, worldwide license to use the final deliverables for the purposes agreed (e.g., personal portfolio, commercial release). Some uses (e.g., national ads, broadcast, multi-brand campaigns) may require extended licensing, please ask.
  • Beats/Instrumentals: Licensing terms (exclusive/non-exclusive, publishing splits) will be set out in your producer agreement/invoice.
  • Model/Appearance & Location Releases: You are responsible for securing necessary permissions unless we agreed in writing to arrange them.

10) Portfolio & Credits

  • We love to showcase work. We will request your written consent before using any excerpts in our portfolio, showreel, or social channels.
  • Where customary, please credit WobeStudios and key contributors (e.g., Producer/Director/Mix Engineer) in descriptions or metadata.

11) Client Responsibilities

  • Provide timely materials: scripts, lyrics, stems, brand guidelines, shot lists, product, props, wardrobe, and approvals.
  • Ensure your materials do not infringe third-party rights. You warrant that you have obtained all necessary permissions (music, likeness, trademarks, venues).
  • Provide accurate scheduling info and notify us promptly of any changes.

12) Safety, Venues & Drone

  • You agree to comply with venue rules and any lawful instructions from our crew.
  • For drone services, flights depend on permits, weather, and safety. Pilot has final authority to fly or not. Illegal or unsafe flight requests will be refused.

13) Data & Privacy

  • We handle personal data per our Privacy Policy.
  • Public pages run on WordPress; authenticated bookings, invoices, and file delivery happen in our app.
  • You consent to receiving essential service emails/SMS (bookings, invoices, deliveries). Marketing messages are opt-in and can be unsubscribed at any time.

14) File Delivery & Retention

  • Final files are delivered via secure links.
  • We retain session/project files for 90 days after delivery unless you have a separate hosting/archiving plan. Re-exports after 90 days may incur fees.

15) Subcontractors & Third Parties

We may engage trusted freelancers or vendors (engineers, retouchers, colorists, session musicians, drone pilots) under confidentiality to deliver parts of your project.

16) Warranties & Disclaimers

  • We warrant that we will provide services with reasonable skill and care.
  • Except as expressly stated, services and deliverables are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee any specific commercial outcome (views, streams, chart positions, sales).

17) Limitation of Liability

To the maximum extent permitted by law, WobeStudios and its affiliates are not liable for:

  • indirect, incidental, special, consequential, exemplary, or punitive damages;
  • lost profits, revenue, goodwill, or data;
  • any amount exceeding the fees you paid for the specific project giving rise to the claim in the 12 months prior to the event.

Nothing here limits liability for fraud, willful misconduct, or injury where such limitations are prohibited by law.

18) Indemnity

You agree to indemnify and hold harmless WobeStudios, its officers, employees, and contractors from claims, damages, and costs (including reasonable legal fees) arising from:

  • your breach of these Terms;
  • your materials infringing third-party rights;
  • your misuse of the services;
  • on-location incidents caused by your instructions or omissions.

19) Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., extreme weather, power outages, civil unrest, government actions, network failures). We will reschedule at the earliest safe opportunity or issue studio credit as appropriate.

20) Termination

We may suspend or terminate access for violations of these Terms, non-payment, abusive behavior, safety issues, or unlawful activity. You may terminate your account at any time; outstanding invoices remain payable.

21) Governing Law & Dispute Resolution

These Terms are governed by the laws of Lagos State, Nigeria without regard to conflict-of-laws rules.
Good-faith resolution: The parties will first attempt to resolve disputes informally within 30 days.
If unresolved, disputes shall be submitted to arbitration/mediation or competent courts in Lagos State. You agree to the exclusive jurisdiction and venue of those courts/tribunals.

22) Miscellaneous

  • Entire Agreement: These Terms, your signed quote/invoice, and the Privacy Policy + Refund & Returns Policy form the entire agreement.
  • No Waiver: Failure to enforce any provision is not a waiver.
  • Severability: If any provision is unenforceable, the remainder stays in effect.
  • Assignment: You may not assign your rights without our consent. We may assign in connection with a merger, acquisition, or asset transfer.
